Terms & Conditions

  1. Object
    The general terms and conditions described below detail the rights and obligations of the company EMAX and its client in the context of the sale of the following goods: server, computer component. Any service provided by the company EMAX therefore implies the unconditional adherence of the buyer to these general terms and conditions of sale.
  2. Price
    The prices of the goods sold are those in force on the day the order is placed. They are quoted in USD and calculated excluding taxes. Consequently, they will be increased by the applicable VAT rate and transport costs on the day of the order. EMAX reserves the right to modify its prices at any time. However, it undertakes to invoice the goods ordered at the prices indicated at the time of the order registration.
  3. Discounts and Rebates
    The prices offered include discounts and rebates that EMAX may grant based on its results or the buyer's assumption of certain services.
  4. Discount
    No discount will be granted in case of early payment.
  5. Payment terms
    Orders are paid by bank transfer. When placing an order, the buyer must pay a deposit of 30% of the total invoice amount, with the balance due upon one week before shipment starts.
  6. Late payment
    EMAX reserves the right to forfeit above 30% deposit if the buyer does not pay the 70% balance before shipment.
  7. Retention of Title Clause
    EMAX retains ownership of the goods sold until full payment of the price, including principal and accessories. At this title, if the buyer is subject to a recovery or a judicial liquidation, the company EMAX reserves the right to claim, as part of the collective procedure, the goods sold and unpaid.
  8. Delivery
    Delivery is made: - either by direct delivery of the goods to the buyer; - or by sending a notice of availability in-store to the attention of the buyer; - or at the location indicated by the buyer on the order form. The delivery time indicated when placing the order is given for information purposes only and is not guaranteed. As a result, any reasonable delay in the delivery of the products cannot give the buyer the right to: - claim damages; - cancel the order. The risk of transportation is fully borne by the buyer. In the event of missing or damaged goods during transport, the buyer must make all necessary reservations on the order form upon receipt of said goods. These reservations must also be confirmed in writing within five days following delivery, by registered mail with return receipt requested.
  9. Force majeure
    EMAX shall not be liable for any failure or delay in performing any of its obligations under these general terms and conditions of sale if such failure or delay is caused by a force majeure event.
  10. Competent Court
    Any dispute relating to the interpretation and execution of these general terms and conditions of sale is subject to Taiwan law. In the absence of an amicable settlement, the dispute will be brough before the Taiwan Shilin District Court
